TRUE ROBOTICS® TERMS AND CONDITIONS
By checking the box, the user (“the User”) acknowledges that they have read, understood, and agree to be legally bound by the following Terms of Service & Sales Agreement (the “Agreement”) with True Robotics®, Inc. (the “Service Provider”), a corporation organized and existing under the laws of the Commonwealth of Massachusetts, with its head office located at:

This Agreement governs all purchases and use of products, services, and educational materials offered by True Robotics®, Inc., including but not limited to those related to robotics and Science, Technology, Engineering, and Math (STEM) education.
1. ITEMS AND SERVICES PROVIDED
1.0 The exact items and services provided will be outlined on an invoice from the Service Provider.
1.1 The Service Provider offers the following items and services to the User:
1.1.1 Introduction to Robotics with Axle Classroom Package
Designed for grades 6 through 8, this package provides access to the True Robotics® Introduction to Robotics with Axle Curriculum Portal, which offers a comprehensive curriculum aligned with applicable educational standards. This curriculum includes a curriculum map outlining instructional goals, grading rubrics, detailed lesson plans, active learning worksheets, classroom presentations, and entry and reflection questions to support effective teaching and student engagement. Educators also receive professional development and instructional resources for effective implementation in the classroom, including guidance on lesson planning, grading, and student evaluation. The package features True Robotics® Axle Robot Kits, which include key components such as a smart controller, motors, sensors, a rechargeable battery and charger, a game controller, and essential tools. Additionally, the package includes access to the True Robotics® Playground drag-and-drop programming software for interactive, hands-on learning.
1.1.2 Taking Off with Pilot Classroom Package
Targeted at grades 4 through 5, this package provides access to the True Robotics® Taking Off with Pilot Curriculum Portal, which features a curriculum aligned with educational standards. This includes a curriculum map, grading rubrics, lesson plans, active learning worksheets, classroom presentations, entry and reflection questions, instructional videos demonstrating use of the True Robotics® Playground software, and supplemental reference materials including images, video content, and exercises. The package also includes True Robotics® Pilot Robot Kits equipped with essential components such as a smart controller, motors, sensors, a rechargeable battery and charger, a game controller, and assembly tools. Educators benefit from professional development that provides practical strategies for lesson planning, grading, and integrating the Pilot Robot Kits into their instructional environments.
1.1.3 Paving the Way with Treads Classroom Package
Intended for grades Kindergarten through 3, this package offers a comprehensive early introduction to robotics through the True Robotics® Paving the Way with Treads Curriculum Portal. The curriculum includes a curriculum map, grading rubrics, detailed lesson plans, active learning worksheets, classroom presentations, entry and reflection questions, instructional videos for use of the True Robotics® Playground software, and additional instructional references such as images and exercises. This package includes True Robotics® Treads Robot Kits, offering hands-on learning with components such as a smart controller, motors, sensors, a rechargeable battery and charger, a game controller, and assembly tools. Educators also receive professional development support tailored to the needs of early learners, ensuring effective integration of both the curriculum and robotics kits into the classroom setting.
2. FEES
2.1 Invoice-Based Pricing
All fees for goods and services provided by the Service Provider, including but not limited to classroom packages, additional robot kits, and renewals for curriculum and software updates, will be detailed on invoices issued by the Service Provider. These invoices will reflect the current pricing and any special terms agreed upon at the time of sale.
2.2 Payment Terms
Payment for all invoices is due within thirty (30) calendar days from the invoice date in accordance with standard “Net 30” terms. These terms apply universally to initial purchases, additional orders, and subscription fees, unless explicitly stated otherwise on the invoice.
2.3 Subscription Fees
Details regarding annual subscription fees necessary for continued access to the curriculum and software updates will be provided on the respective invoices. The first year’s subscription fee may be waived or reduced as indicated on the initial invoice.
2.4 Additional Purchases
Fees for additional purchases, including but not limited to extra robot kits or services, will be specified on their respective invoices. Payment is due within the standard Net 30 terms from the invoice date.
2.5 Consistency and Updates
All prices and terms are subject to change. Any such changes will be communicated through revised invoices or other written documentation provided by the Service Provider to ensure clarity and adherence to the agreed payment schedule.
2.6 Consequences of Non-Payment
Failure to make payment within fourteen (14) calendar days of the due date may result in the suspension of services, including but not limited to access to the True Robotics® Curriculum Portal and associated support services. If the account remains unpaid after sixty (60) calendar days, True Robotics®, Inc. reserves the right to pursue legal action to recover the outstanding amount, including but not limited to collection costs, interest, and reasonable attorney fees.
3. DELIVERABLES ACCEPTANCE
3.1 Upon delivery of the True Robotics® Axle, Pilot, or Treads Robot Kits and access to the associated curriculum, the User shall be required to sign and return an acceptance form provided by the Service Provider.
3.2 The acceptance form shall serve as confirmation that the User has received all deliverables outlined in the invoice.
3.3 Failure to sign and return the acceptance form within ten (10) business days of delivery shall be deemed as acceptance of the deliverables by the User.
3.4 Upon either the signed return of the acceptance form or the expiration of the ten (10) business day period without written notification of deficiencies, the User acknowledges and agrees that all deliverables have been accepted and that the User shall be bound by the terms outlined in Section 8 (Terms of Use).
4. DELIVERABLES QUANTITY
4.1 The exact quantity of Axle, Pilot, or Treads Robot Kits to be delivered shall be specified in the purchase order issued by the User or on the invoice issued by the Service Provider.
5. LIMITATION OF LIABILITY
5.1 The Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement. This includes but is not limited to damages for loss of profits, loss of business, loss of data, or any similar damages, even if the Service Provider was advised of the possibility of such damages.
5.2 The total liability of the Service Provider, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with this Agreement shall not exceed the total fees paid by the User to the Service Provider under this Agreement.
6. INDEMNITY AGREEMENT
6.1 The Service Provider (the “Indemnifying Party”) agrees to indemnify and hold harmless the User (the “Indemnified Party”), including the Indemnified Party’s officers, directors, employees, agents, and affiliates, from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees (collectively referred to as “Claims”), arising out of or relating to:
6.1.1 Any negligent acts or omissions, willful misconduct, or breach of obligations by the Service Provider;
6.1.2 Any violation of applicable laws or regulations by the Service Provider;
6.1.3 Any product liability claims or intellectual property infringement claims resulting from the Service Provider’s products or services;
6.1.4 Any bodily injury, including death, or damage to property caused by the Service Provider’s activities, products, or services.
7. OBLIGATIONS OF THE USER
7.1 The User agrees to fulfill the following obligations:
7.1.1 Provide Access
The User shall provide necessary access to its premises, facilities, and equipment as reasonably required by the Service Provider for the delivery of robot kits, professional development sessions, or other related services.
7.1.2 Payment
The User shall make all agreed-upon payments in a timely manner as detailed in Section 2 (Fees) of this Agreement.
7.1.3 Compliance with Terms
The User shall comply with all terms, conditions, and restrictions outlined in this Agreement, including the obligations defined in Section 8 (Terms of Use).
7.1.4 Cooperation
The User shall cooperate with the Service Provider and provide all necessary assistance or information required to support the delivery, implementation, and success of the products and services.
7.1.5 Feedback
The User shall provide feedback to the Service Provider regarding the quality, effectiveness, and usability of the products and services as reasonably requested.
7.1.6 Compliance with Laws
The User shall comply with all applicable laws, regulations, and internal policies regarding the use of robotics in educational settings, data privacy, and intellectual property rights.
7.1.7 Safeguarding of Materials
The User shall take reasonable steps to safeguard and prevent unauthorized access, use, or distribution of all True Robotics® curriculum materials and robot kits, including protecting them from loss, theft, or damage.
8. TERMS OF USE
8.1 Upon purchase and in accordance with the User’s selected payment, the User is permitted to access and use only the materials that have been paid for, as outlined in Section 1.
8.2 All materials are intended to be used solely for educational purposes in the fields of science, technology, engineering, mathematics, and robotics. In this Agreement, the term “use” refers to presenting and disseminating materials within classroom or similar educational environments for the purpose of instructing students.
8.3 The User agrees not to distribute, sell, or misuse the materials. The User acknowledges that all materials are copyrighted and protected under the intellectual property of True Robotics®, Inc. Any copying, reselling, or use of the materials for purposes other than those described herein may constitute a violation of law and result in legal penalties.
